These Terms govern your access to and use of Showdown, operated by Pravesio Consulting Private Limited ("Showdown", "we", "us"), including showdownalley.com and all competitions, practice cases, leaderboards, certificates, rewards, and support services offered through it (together, the "Platform").
By creating an account, registering for any competition, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
This document is an electronic record under the Information Technology Act, 2000 and does not require a physical signature.
1. Eligibility
1.1 You must be at least 16 years old to create an account. If you are between 16 and 18, you may use the Platform only with the consent and supervision of a parent or legal guardian, who accepts these Terms on your behalf.
1.2 You must be legally capable of entering into a binding contract under the Indian Contract Act, 1872.
1.3 You confirm that the information you give us at registration, including your name, college, and course, is accurate and that you will keep it current. Some competitions are open only to students of a particular college or course; entering one you are not eligible for may lead to disqualification.
2. Your Account
2.1 One account, one person. Your account is personal to you. Accounts may not be shared, sold, transferred, or used by more than one individual.
2.2 Credentials. You are responsible for keeping your login details confidential and for everything that happens under your account. Tell us at help@showdownalley.com immediately if you suspect unauthorised access.
2.3 Integrity checks. We monitor for shared accounts, multiple accounts, and automated access. Where we detect it, we may require re-verification, suspend access, or terminate the account under Section 12.
2.4 Accuracy. Registering with false details, impersonating another person, or creating multiple accounts to obtain coins, coupons, referral rewards, or competition entries is a breach of these Terms.
3. What We Provide
3.1 Showdown is an online platform for finance competitions. It runs case competitions, quizzes, and analytical rounds, often together with colleges and their student societies; a library of practice cases; leaderboards and results; certificates; and a rewards programme of coins, coupons, and referral bonuses.
3.2 Competition rules. Each competition page states its format, eligibility, team size, entry fee (if any), registration window, attempt window, time limit, and how it is marked. Those rules form part of these Terms for that competition. Where a competition is run with a college or partner, any rules they publish apply alongside ours.
3.3 Fair play. Attempts must be your own work, or your team's own work. We may record tab switches, timing, and other attempt signals, and may disqualify an entry, withhold a result, or take back a reward where we find copying, collusion, multiple accounts, or other unfair means.
3.4 Marking and results. Answers are marked automatically or by our judges against the published scheme. Results, ranks, and rewards are final once published, except where we correct an error we find or that you report under Section 13.
3.5 Changes. We may correct, replace, or withdraw a question, extend a deadline, or reschedule or cancel a competition for operational reasons, and will give as much notice as we reasonably can.
3.6 Availability. We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be notified where practicable.
4. Educational Purpose, No Investment Advice
4.1 This is the most important section of these Terms. Read it carefully.
4.2 Showdown is a competition and learning platform only. Nothing on the Platform, no case, question, solution, worked example, model, valuation, recommendation exercise, or competition submission, constitutes:
- investment advice or a personal recommendation;
- research analysis or a research report within the meaning of the SEBI (Research Analysts) Regulations, 2014;
- advice within the meaning of the SEBI (Investment Advisers) Regulations, 2013;
- a solicitation, offer, or inducement to buy, sell, or hold any security or financial product; or
- portfolio management, financial planning, or tax advice.
4.3 We are not registered with SEBI as a Research Analyst, Investment Adviser, or Portfolio Manager, and we do not act in any of those capacities.
4.4 Where a case or question asks you to reach a "buy", "sell", or "hold" view on a real company, that exercise exists solely to test analytical method. It is not a recommendation to you or anyone else, and must not be distributed or presented as one.
4.5 Any securities, funds, instruments, or companies referenced are used as illustrations. Their appearance is not an endorsement.
4.6 You are solely responsible for your own financial decisions. Consult a SEBI-registered investment adviser or another appropriately qualified professional before acting on anything you see here. Investments in securities markets carry risk, including loss of principal. Past performance does not indicate future results.
4.7 Case authors, judges, and partner organisations act in an educational capacity. They are not your advisers, and any view they express is illustrative and their own.
5. Prizes, Certificates and Outcome Disclaimers
5.1 Prizes and rewards. Prizes, coupons, internships, and other rewards are as stated on each competition page. Where a partner or sponsor provides a reward, it is fulfilled on that partner's terms. Rewards are not transferable and cannot be exchanged for cash unless stated.
5.2 Coins and coupons. Showdown coins are earned for signing up, taking part, referrals, and winning, and can be spent only on offers in the Showdown rewards store. Coins have no cash value, cannot be transferred or bought, and may be adjusted or removed where earned in breach of these Terms. Coupons are subject to their stated validity and the third party's terms.
5.3 Certificates. Showdown certificates record participation in or a result from a Showdown competition only. They are not a regulatory licence, an academic qualification, or a substitute for any certification issued by any examining body.
5.4 No guarantee of employment. Competitions, results, and rewards are not an offer of employment and do not guarantee a job, an interview, a placement, a stipend, or any salary. Where an internship is offered as a reward, its terms are set out separately at the time of that offer.
5.5 Third-party names, including colleges, societies, exchanges, regulators, and companies used in a case, belong to their respective owners. Their appearance does not mean they endorse Showdown, unless a competition page says it is run with them.
6. Acceptable Use
You agree not to:
- share, publish, or redistribute questions, cases, solutions, or other Platform content, during or after a competition;
- get help from anyone outside your registered team during an attempt, or help another participant;
- share your login with anyone, or attempt a competition through another person's account;
- use scrapers, crawlers, bots, headless browsers, or automated tools against the Platform;
- circumvent, disable, or interfere with any access control, timer, rate limit, or security feature;
- reverse engineer, decompile, or attempt to derive the source code of the Platform;
- upload malware, or anything unlawful, defamatory, obscene, infringing, or harassing;
- misrepresent your identity, college, affiliation, or qualifications;
- use the Platform to provide investment advice to others, to solicit clients, or to run any tipping, signals, or advisory service;
- present Showdown material as your own to third parties, or use it to build a competing offering; or
- use the Platform for anything unlawful, or in breach of SEBI regulations or any other applicable law.
Breach of this section may result in disqualification and immediate suspension without refund, plus whatever legal remedies are available to us.
7. Intellectual Property
7.1 All content on the Platform, cases, questions, solutions, datasets, marking schemes, graphics, code, and design, is owned by or licensed to Pravesio Consulting Private Limited and protected under the Copyright Act, 1957 and applicable international law.
7.2 "Showdown", the Showdown logo, and associated brand elements are our marks. You may not use them without written permission.
7.3 Your licence to use the content is limited, personal, non-exclusive, non-transferable, and revocable. Full terms are in our Content License, which forms part of these Terms.
7.4 Your submissions. You retain ownership of the answers, reports, models, and other files you submit. By submitting them, you grant us a worldwide, royalty-free, non-exclusive licence to host, store, display, and process them to run the Platform, to mark them and give feedback, to share them with the college or partner running that competition, and, with your consent, to showcase exemplary work. You may withdraw showcase consent at any time by writing to help@showdownalley.com.
7.5 Feedback. If you send us suggestions for improving the Platform, we may use them without obligation or compensation.
8. Payments, Pricing and Taxes
8.1 Most competitions are free. Where a competition charges an entry fee, the fee is shown on its page in Indian Rupees. Applicable GST is charged as required.
8.2 Payments are processed by our payment gateway, Razorpay. Your use of the gateway is also governed by its terms.
8.3 Your entry is confirmed after payment is confirmed. If a payment fails, reverses, or is charged back, we may cancel the entry or suspend access until it is resolved.
8.4 In a team competition, each member pays their own entry fee unless the competition page says otherwise.
8.5 We may change fees at any time. Changes do not affect an entry you have already paid for.
8.6 Coupons and promotional pricing are subject to their own stated conditions, cannot be combined unless expressly permitted, and may be withdrawn at any time before payment.
8.7 Refunds are governed by our Return & Refund Policy.
9. Third-Party Services and Links
The Platform may link to or integrate third-party services, payment gateways, email providers, analytics, colleges' and partners' websites, and exchange or regulator websites. We do not control them and are not responsible for their content, availability, or practices. Your use of them is governed by their own terms.
10. Disclaimers
10.1 The Platform is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.
10.2 We work hard to keep cases, questions, and answer keys accurate, but data, regulations, tax rules, and market practice change. We do not warrant that all content is free of error or fully up to date at every moment.
11. Limitation of Liability
11.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, data, goodwill, opportunity, or any trading or investment loss, however arising.
11.2 Our total aggregate liability for any claim relating to the Platform is limited to the amount you actually paid us in the 12 months before the event giving rise to the claim, or ₹10,000, whichever is lower.
11.3 Nothing in these Terms limits liability that cannot be limited under applicable law, including under the Consumer Protection Act, 2019.
12. Suspension and Termination
12.1 By you. You may stop using the Platform at any time and request account deletion by writing to help@showdownalley.com. Deletion is subject to the retention periods in our Privacy Policy. Deletion does not automatically trigger a refund; see the Return & Refund Policy.
12.2 By us. We may suspend or terminate your access, with or without notice depending on severity, if you breach these Terms, use unfair means in a competition, share credentials or content, attempt to circumvent security, charge back a legitimate payment, behave abusively towards staff, judges, partners, or other participants, or use the Platform unlawfully.
12.3 Effect. On termination for breach, your licence ends immediately, access is revoked, unredeemed coins are forfeited, and no refund is due. Sections 4, 5, 7, 10, 11, 13, and 14 survive termination.
